{"id":242,"date":"2019-05-28T05:05:33","date_gmt":"2019-05-28T05:05:33","guid":{"rendered":"https:\/\/www.buddhistisk-bisaettelse.dk\/eng\/?page_id=242"},"modified":"2023-03-13T10:22:47","modified_gmt":"2023-03-13T10:22:47","slug":"articles-of-association-for-the-buddhist-funeral-society","status":"publish","type":"page","link":"https:\/\/www.buddhistisk-bisaettelse.dk\/eng\/articles-of-association-for-the-buddhist-funeral-society\/","title":{"rendered":"Articles of Association for The Buddhist Funeral Society"},"content":{"rendered":"<ol>\n<li><em><strong>Name and address<\/strong><\/em><\/li>\n<\/ol>\n<p style=\"padding-left: 40px;\"><em><strong># 1. <\/strong><\/em>The name is <strong>The Buddhist Funeral Society<\/strong> known in Danish as <em>Buddhistisk Bis\u00e6ttelses Forening<\/em>, abbreviated to <strong>BBF. <\/strong>Colloquially \u201cThe Stupa Society\u201d<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2. <\/em><\/strong>The society is registered at the Municipality of Copenhagen and the address of\u00a0 is that of the treasurer.<\/p>\n<p>&nbsp;<\/p>\n<p><strong> 2. <em>The Aims\u00a0<\/em><\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1.<\/em><\/strong>The aims of the society are to:<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Raise funds for the building and upkeep of the stupa<\/li>\n<li>Raise donations and, or, gifts for lamas and others performing prayers for the\u00a0 deceased.<\/li>\n<li>Work as a society representing all Buddhists denominations in Denmark and communicate with the respective authorities, including Bispebjerg Cemetery, about funeral matters.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><strong>3.\u00a0<\/strong><em><strong> Membership<\/strong><\/em><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1<\/em>.<\/strong> Any person who can affiliate her\/himself to the object of the Society may become a member<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2<\/em>.\u00a0<\/strong>In order to become a member one can use the registration form on the website\u00a0 or contact either the chairman or the treasurer. Membership is valid from the moment the fee has been paid.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 3. <\/em><\/strong>Cancellation of one&#8217;s membership can be made by contacting a board member.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 4.\u00a0<\/em><\/strong>The annual membership fee is set by the general assembly and is due at the begning of the fiscal year. Ordained lamas, monks and nuns are entitled to free membership.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>4. <em>The <\/em><\/strong><strong><em>Annual general meeting &#8211; AGM<\/em><\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1<\/em>.\u00a0<\/strong>The AGM is the highest authority of the society<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2.\u00a0<\/em><\/strong>The AGM takes place once a year before June 1st and is announced at least 3 weeks in advance. An agenda must be included. Notice can\u00a0 be sent by mail, email and\/or displayed on the website.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 3.\u00a0<\/em><\/strong>All members, who have paid their membership fee at latest one week before the AGM, have access and are entitled to vote. A proxy vote is not allowed.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 4.\u00a0<\/em><\/strong>The agenda for the AGM must at a minimum contain the following points:<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Electing a chairperson<\/li>\n<li>Electing a secretary to take the notes<\/li>\n<li>Electing people to count votes<\/li>\n<li>The chairman\u2019s report<\/li>\n<li>Presentation of the accounts for approval<\/li>\n<li>Presentation of the budget for approval<\/li>\n<li>Setting the membership fee<\/li>\n<li>Discussion of received proposals<\/li>\n<li>Electing the chairman for 2 years<\/li>\n<li>Electing 2 board members every other year<br \/>\n(The board is self sufficient and can replace a board member retiring before their term of office expires)<\/li>\n<li>Electing 2 accountants<\/li>\n<li>Any other topic<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p style=\"padding-left: 40px;\"><em><strong># 5. <\/strong><\/em>Proposals for the agenda must be received, in writing, at least 21 days\u00a0 before the AGM. Proposed alterations to the regulations of BBF must be received in writing at least 3 months before the month when the AGM will be held.<\/p>\n<p style=\"padding-left: 40px;\"><em><strong># 6.\u00a0<\/strong><\/em>At the AGM decisions are made by a majority show of hands. If a single member attending demands it, there must be ballot vote. When electing members for the board, if there are more candidates than positions, there will always be written vote.<\/p>\n<p>&nbsp;<\/p>\n<p><strong> 5. <\/strong><strong>Extraordinary general meeting &#8211; EGM<\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1. <\/em><\/strong>An EGM can be held when the board finds it necessary or when at least a third of the members makes a written and reasoned request to the chairman. In such a case, the EGM must be held within a period of 4 weeks from the date the chairman received the request.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2.<\/em><\/strong> The minimum time required to call a general meeting is two weeks.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>6. <\/strong><strong>The Stupa Society&#8217;s daily leadership<\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1.\u00a0<\/em><\/strong>The leadership is made up of a chairperson and 4 members of the board of directors. The board members are elected at the AGM for a period of 2 years. Every second year 2 or 3 members are elected respectively<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2.\u00a0<\/em><\/strong>The board guides the society in accordance with the current AoA and the decisions made at the general meeting.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 3<\/em>.\u00a0<\/strong>Within 14 days of the election the board must meet\u00a0 to elect a chairman, vice-chairman, treasurer and secretary. All positions on the board are valid until the next AGM.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 4.\u00a0<\/em><\/strong>The board adopts its own rules of procedure. It may set up subcommittees and workgroups for carrying out specific tasks.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 5<\/em>.\u00a0<\/strong>The chairman, and in his absence the vice-chairman, calls and leads the committee\u2019s meetings when he\/she finds it necessary; or when at least 3 members of the board request it. The meeting should be held within two weeks after the chairman has received a formal request. The call is given in writing and includes an agenda.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 6. <\/em><\/strong>The committee forms a quorum when at least 3 members of the committee are present.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>7. Finances, accounts and auditing<\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1. <\/em><\/strong>The fiscal year of the Stupa Society follows the calendar year.<\/p>\n<p style=\"padding-left: 40px;\"><em><strong># 2.\u00a0<\/strong><\/em>The board is responsible to the members for accounts and budgeting.<\/p>\n<p style=\"padding-left: 40px;\"><em><strong># 3.\u00a0<\/strong><\/em>The accounts are kept by the treasurer, who also registers the members.<\/p>\n<p style=\"padding-left: 40px;\"><em><strong># 4.\u00a0<\/strong><\/em>The accounts are audited by an accountant chosen by the members at an AGM\/EGM.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>8.\u00a0<\/strong><b>Responsibilities and liability<\/b><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1<\/em><\/strong>.\u00a0The signature of the chairman and the treasurer are jointly required. The chairman and the treasurer can dispose of the Stupa Society&#8217;s bank account and credit card separately.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2<\/em>.\u00a0<\/strong>The board as well as the members are not personally financially accountable for the Stupa Society&#8217;s financial obligations.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>9. <\/strong><strong>Changes to the AoA<\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong>#<em> 1<\/em>. <\/strong>The AoA\u00a0 can only be changed with a 2\/3 majority of the members present at a general meeting. And when the proposed changes are a part of the approved agenda.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2<\/em>. <\/strong>The AoA changes are adopted at the general meeting once approved.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>10. Dissolution<\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1<\/em>.\u00a0<\/strong>Dissolution of the Stupa Society is only possible with a\u00a0 2\/3 majority at both a general meeting followed by an extraordinary general assembly.<\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 2.\u00a0<\/em><\/strong>If the society is dissolved the assets will be proportionally divided between the approved Buddhist religious communities which have supported the Stupa Society.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>11. <\/strong><strong><em>Datering<\/em><\/strong><\/p>\n<p style=\"padding-left: 40px;\"><strong><em># 1.\u00a0<\/em><\/strong>These regulations were approved at the founding meeting\u00a0 of the Stupa Society\u00a0 on March 3rd 2018.<\/p>\n<p>&nbsp;<\/p>\n<p>The board of the Stupa Society 25 the June 2018<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Name and address # 1.
